The Hub is developed and maintained by\u00a0<strong>O\u2019Eme, LLC<\/strong>, a Delaware limited liability company (\u201c<strong>O\u2019Eme<\/strong>,\u201d \u201c<strong>we<\/strong>,\u201d \u201c<strong>us<\/strong>,\u201d or \u201c<strong>our<\/strong>\u201d), under agreement with your employer and\/or their benefits broker (collectively, the \u201c<strong>Client<\/strong>\u201d).<br>By accessing or using this Hub, you agree to be bound by these Terms and Conditions (\u201c<strong>Terms<\/strong>\u201d). If you do not agree, please discontinue use of the Hub.<br>The Hub is designed as a central point of access for benefits education, awareness, and support, and may include informational videos, EMODs, interactive tools, and links to secure enrollment platforms. It is not an enrollment or data-collection system.<\/p>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<h2 class=\"wp-block-heading has-large-font-size\" style=\"padding-bottom:0;font-style:normal;font-weight:600;line-height:1.5\">2. Informational Purpose Only<\/h2>\n\n\n\n<p class=\"has-medium-font-size\">All materials, videos, and tools provided through the Hub are for informational and educational purposes only.<\/p>\n\n\n\n<ul class=\"wp-block-list has-medium-font-size\">\n<li>The benefit details presented are provided and approved by your employer or their benefits broker.<\/li>\n\n\n\n<li>O\u2019Eme does not provide legal, financial, or professional benefits advice.<\/li>\n\n\n\n<li>For all official or binding benefit information, please refer to your company\u2019s supporting plan documents, summary plan descriptions (SPDs), or contact your employer\u2019s HR or benefits administrator.<\/li>\n<\/ul>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<h2 class=\"wp-block-heading has-large-font-size\" style=\"padding-bottom:0;font-style:normal;font-weight:600;line-height:1.5\">3. However, O\u2019Eme does not warrant or guarantee that the information contained on this Hub is error-free, complete, or current.<br>The supporting plan documents provided by your employer or broker are the source of truth for all plan terms, eligibility, coverage levels, and costs.<br>Neither O\u2019Eme nor the Client shall be liable for any reliance on Hub content or for any decisions made based on this information.<\/p>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-container-core-group-is-layout-19e250f3 wp-block-group-is-layout-constrained\">\n<h2 class=\"wp-block-heading has-large-font-size\" style=\"padding-bottom:0;font-style:normal;font-weight:600;line-height:1.5\">4. It is designed to help users better understand benefit concepts, plan structures, and common healthcare navigation topics.<br>Sherp does not provide:<\/p>\n\n\n\n<ul class=\"wp-block-list has-medium-font-size\">\n<li>Medical advice<\/li>\n\n\n\n<li>Legal, financial, or tax advice<\/li>\n\n\n\n<li>Clinical recommendations or diagnoses<\/li>\n\n\n\n<li>Plan selection or enrollment recommendations<\/li>\n<\/ul>\n\n\n\n<p class=\"has-medium-font-size\" style=\"line-height:1.5\"><strong>No Plan or Coverage Determinations<\/strong><br>Sherp does not determine eligibility, confirm coverage, or interpret plan provisions beyond general summaries.<br>It does not guarantee costs, claims outcomes, provider network status, or benefit availability.<br>All benefit decisions must be made by the user and verified through official plan documents, including Summary Plan Descriptions (SPDs), Summary of Benefits and Coverage (SBCs), or directly with the employer, broker, or carrier.<\/p>\n\n\n\n<p class=\"has-medium-font-size\" style=\"line-height:1.5\"><strong>User Responsibility and Verification<\/strong><br>You are solely responsible for reviewing official benefit materials and confirming all information prior to making any decisions related to healthcare or benefits.<br>Information provided by Sherp may be generalized, incomplete, or not specific to your individual circumstances.<\/p>\n\n\n\n<p class=\"has-medium-font-size\" style=\"line-height:1.5\"><strong>AI Limitations<\/strong><br>Sherp utilizes artificial intelligence technologies that may generate responses based on patterns in data.<br>As such:<\/p>\n\n\n\n<ul style=\"line-height:1.5\" class=\"wp-block-list has-medium-font-size\">\n<li>Responses may be inaccurate, incomplete, or out of context<\/li>\n\n\n\n<li>Outputs are not guaranteed to be error-free<\/li>\n\n\n\n<li>O\u2019Eme does not warrant the accuracy, completeness, or applicability of any AI-generated response<\/li>\n<\/ul>\n\n\n\n<p class=\"has-medium-font-size\" style=\"line-height:1.5\">Use of Sherp is at your own discretion and risk.<\/p>\n\n\n\n<p class=\"has-medium-font-size\" style=\"line-height:1.5\"><strong>Prohibited and Improper Use<\/strong><br>You agree not to use Sherp:<\/p>\n\n\n\n<ul style=\"line-height:1.5\" class=\"wp-block-list has-medium-font-size\">\n<li>To seek or rely on medical or clinical guidance<\/li>\n\n\n\n<li>To obtain definitive plan selection or enrollment advice<\/li>\n\n\n\n<li>To attempt to manipulate, override, or extract responses outside of intended use<\/li>\n\n\n\n<li>To input false, misleading, or inappropriate information<\/li>\n\n\n\n<li>For any unlawful, abusive, or adversarial purpose<\/li>\n<\/ul>\n\n\n\n<p class=\"has-medium-font-size\" style=\"line-height:1.5\">Any attempt to intentionally misuse or test the boundaries of Sherp\u2019s intended function is a violation of these Terms.<\/p>\n\n\n\n<p class=\"has-medium-font-size\" style=\"line-height:1.5\"><strong>Escalation and Human Support<\/strong><br>Sherp may direct users to official resources or recommend contacting HR, a broker, or a carrier for further assistance.<br>Sherp may also facilitate escalation of inquiries where appropriate.<br>Sherp is not a substitute for licensed professionals or employer-sponsored support channels.<\/p>\n\n\n\n<p class=\"has-medium-font-size\" style=\"line-height:1.5\"><strong>Acceptance of Use<\/strong><br>Use of the Sherp chat functionality constitutes acceptance of these Terms and Conditions.<br>If you do not agree, you should not engage with the chat feature. (\u201c<strong>Sherp<\/strong>\u201d) powered by artificial intelligence to assist with general benefits education and navigation.<\/p>\n<\/div>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<h2 class=\"wp-block-heading has-large-font-size\" style=\"padding-bottom:0;font-style:normal;font-weight:600;line-height:1.5\">5. Third-Party Links and Enrollment Platforms<\/h2>\n\n\n\n<p class=\"has-medium-font-size\" style=\"line-height:1.5\">The Hub may contain links or redirects (\u201cEnroll Here\u201d or similar) to external websites, including benefit enrollment platforms and insurance carrier portals.<\/p>\n\n\n\n<ul style=\"line-height:1.5\" class=\"wp-block-list has-medium-font-size\">\n<li>O\u2019Eme does not control, operate, or endorse these third-party sites and is not responsible for their content, accuracy, or security practices.<\/li>\n\n\n\n<li>When you click on an external link, you are subject to that third party\u2019s privacy policy and terms of use. Intellectual Property<\/h2>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-container-core-group-is-layout-e0082cf6 wp-block-group-is-layout-constrained\">\n<p class=\"has-medium-font-size\" style=\"line-height:1.5\">The Hub incorporates both client-specific branding and O\u2019Eme-produced materials.<\/p>\n\n\n\n<p class=\"has-medium-font-size\" style=\"line-height:1.5\"><strong>Client Ownership:<\/strong>\u00a0All client logos, trademarks, and proprietary images remain the property of the respective employer or broker.<\/p>\n\n\n\n<p class=\"has-medium-font-size\" style=\"line-height:1.5\"><strong>O\u2019Eme Ownership:<\/strong>\u00a0All videos, EMODs, AI tools, written scripts, and web framework remain the exclusive property of O\u2019Eme, LLC and are protected by copyright and intellectual property law.<br>Users may not copy, download, modify, distribute, or reuse any O\u2019Eme materials without prior written consent.<br>\u00a92026 O\u2019Eme, LLC. Limitation of Liability<\/h2>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-container-core-group-is-layout-e0082cf6 wp-block-group-is-layout-constrained\">\n<p class=\"has-medium-font-size\" style=\"line-height:1.5\">To the fullest extent permitted by law:<\/p>\n\n\n\n<ul style=\"line-height:1.5\" class=\"wp-block-list has-medium-font-size\">\n<li>O\u2019Eme and the Client shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of this Hub or reliance on its content.<\/li>\n\n\n\n<li>O\u2019Eme\u2019s total aggregate liability, if any, shall not exceed the amount paid (if any) for access to this Hub.<\/li>\n\n\n\n<li>O\u2019Eme and the Client make no warranties as to uninterrupted or error-free operation of the Hub.<\/li>\n<\/ul>\n<\/div>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<h2 class=\"wp-block-heading has-large-font-size\" style=\"padding-bottom:0;font-style:normal;font-weight:600;line-height:1.5\">10. Governing Law<\/h2>\n\n\n\n<p class=\"has-medium-font-size\" style=\"line-height:1.5\">These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
